Terms of Use


Non-exclusive Access to and use of the site ‘ideawicket.com’ is provided by Ideawicket Innovations Private Limited, a company incorporated in India (hereinafter referred to as “Ideawicket”) subject to the following terms and conditions (hereinafter referred to as the “Terms of Use”):-



Users Acceptance


  1. By using the web site ‘ideawicket.com’ (“hereinafter referred to as “the Website”), you agree to be legally bound by these terms and conditions any amendments and modifications thereof. Ideawicket may change these Terms of Use and post them on the Website. It shall be your obligation to review any changes and amendments made by Ideawicket to the Terms of Use. Continued use of the Website by you would amount to your acceptance to all the Terms of Use as amended and in force from time to time.
  2. You should be above the age of 18 years to use the Website.


    3. The Website


  3. The Website provides a platform for posting of inventions, designs, ideas, innovations, projects, business plans, case studies, solutions and other related materials (hereinafter referred to as “Idea” or “Ideas”, as the case may be) by anyone claiming to own the Idea (such person posting the Idea is hereinafter referred to as “the Innovator”).
  4. The Website is in its Beta testing and may contain bugs, errors and other inaccuracies affecting its functionality and/or ability of any User to access or retrieve information from the Website.
  5. The Terms of Use apply to Innovators as well as visitors to the Website. Person accessing the Website either as Innovator or visitor or both is hereinafter referred to as “the User”.
  6. The Website is not for use by persons who are in the business of marketing of ideas and inventions or like businesses.
  7. Ideawicket does not claim any ownership rights in any Idea posted on the Website.
  8. The Website is available free of charge to individuals using it in their personal capacity only. If you represent an organization such as a government body, business or any other institution you must register for a corporate account by filling out this form. The Website is not free for organizations.


    9. Access to the Website


  9. Ideawicket grants to the User limited non-exclusive permission to visit the Website on the Terms of Use. In order to post his Idea on the Website, the innovator shall be required to open a User Account with a password. The User shall provide accurate information at all times.
  10. The User is responsible for keeping his/her/its password secure.
  11. The User shall use the Website and access all or any information provided therein for lawful purposes only and in a manner that does not infringe the rights of any other person.
  12. The User is prohibited from indulging in any behavior that may cause distress, harassment, inconvenience, intimidation or defamation to anyone or that may constitute violation or infringement of anyone’s rights under law or an offence under law.
  13. The User shall not alter or modify any part of the Website other than as may be reasonably necessary to use the Website for its intended purpose.
  14. The User shall not copy or distribute any part of the Website in any medium without Ideawicket's prior written authorization. However, this does not prevent an Innovator from distributing the Innovator’s own Ideas.
  15. The User agrees not to use or launch any automated system, program, code, by whatever name called that accesses the Website in a manner that sends more request messages to the Ideawicket servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. The User shall not act in a manner, by generating, creating or attaching programs or codes, by whatever name called, so as to cause access to the Website diverted, slowed down, made difficult or impossible by any other person.
  16. The User shall not while using the Website or posting any Idea or content on the Website or while using Private Messenger:-
    1. Defame, abuse, harass, stalk, threaten, intimidate, degrade or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
    2. Publish, post, distribute or disseminate any defamatory, infringing, obscene, pornographic, indecent or unlawful material or information.
    3. Impersonate another person or entity;
    4. Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless User owns or controls the rights thereto or have received all necessary consents;
    5. Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.
    6. Conduct or forward surveys, contests, or chain letters;
    7. Download any file posted by another person that the User knows, or reasonably should know, cannot be legally distributed in such manner;
    8. Post advertisements or solicitations of business;
    9. Publish falsehoods or misrepresentations that could damage Ideawicket or any third party;
    10. Submit material that is copyrighted, protected by trade secret or is otherwise subject to third party proprietary rights unless the User is the owner of such rights or has permission from their rightful owner to post the material and grant Ideawicket all of the license rights granted herein;
  17. Notwithstanding anything contained herein, Ideawicket permits public search engines permission to use programs to enable them to create publicly available searchable indices of the Ideas, but not caches or archives of such ideas. Ideawicket reserves the right to revoke these exceptions either generally or in specific cases.
  18. The User agrees not to collect or harvest any personally identifiable information, including account names, from the Website.
  19. The User agrees not to use the communication systems provided by the Website for any commercial solicitation purposes without Ideawicket’s prior written permission.
  20. The User agrees to upload only such content to which he owns or has the requisite rights and permissions. The User agrees not to violate any copyrights, trademarks, patents and intellectual property that belong to another party.
  21. The Users must not modify, adapt or hack the Website or servers hosting the Website or cause any interruption or diversion in access to the Website.
  22. The User acknowledges that Ideawicket does not pre-screen the content posted on the Website. Ideawicket has the right (but not the obligation) to remove content posted on the Website that Ideawicket determines in its sole discretion to be unlawful, threatening, libelous, defamatory, offensive, obscene or otherwise objectionable or violates any party’s intellectual property rights or the Terms of Use.
  23. It shall be the User’s sole obligation to retain and maintain off-line with the User, and not on the Website or Ideawicket’s server, complete backup of all or any content and Idea posted on the Website.


    24. Innovators Submissions


  24. The Innovator can post his/her/its Idea on the Website for viewing by all or anyone visiting the Website. If the innovator marks his idea as ‘private’ it will be visible to the people he allows access to his Idea. Notwithstanding the above, Ideawicket reserves the right, and shall always have the unhindered right, to view such private content.
  25. Ideawicket does not accept any terms and conditions of an Innovator for posting the Idea on the Website. All Ideas posted on the Website are accepted subject to the Terms of Use set out herein, as modified from time to time.
  26. The Innovator posts all such Ideas on the Website at his/her/its sole risk and responsibility. The Innovator takes full responsibility and liability for all the claims that may be made by him in the Idea and the contents posted on the Website.
  27. Where the Innovator posts or submits any Idea to the Website (including any text, photographs, graphics, hyperlinks, drawings, charts, video or audio), the Innovator agrees, by submitting his/her/its Idea, to grant Ideawicket a worldwide royalty-free, non-exclusive, sub-licensable, transferable right and license to use, reproduce, publish, translate, distribute, perform, play, make available to the public, and exercise all publicity rights with respect to the Idea worldwide. The foregoing license granted by you terminates once you remove or delete a User Submission from the Ideawicket Website. However, Ideawicket does not assume any responsibility or liability for availability of the Idea, removed or deleted as aforesaid, on the world wide web, having been copied from the Website.
  28. The User hereby grants each user of the Website a non-exclusive license to access the Idea posted by the User and to distribute and display the same as permitted through the functionality of the Website and under the Terms of Use. If an Innovator does not want to grant to Ideawicket the rights set out above, the Innovator should not submit the Idea to the Website.
  29. The Innovator must seek independent legal advice before posting any Idea on the Website.
  30. Ideawicket shall determine from time to time, in its sole discretion, the space to be made available to any Innovator on its servers, duration for the use of such space and the charges therefor.


    31. Representations, Warranties, Indemnity and Disclaimers and other terms


  31. By submitting the Idea to the Website, the Innovator
    1. Warrants that the Idea
      1. is the Innovator’s own original work and that the Innovator has the right to make it available to the Website for all the purposes specified above.
      2. is not defamatory; and
      3. does not infringe any law; and
      4. That posting of Idea on the Website does not violate or constitute breach of any contract or legal obligation to which the Innovator may be subject.
    2. agrees to indemnify Ideawicket against all legal fees, damages and other expenses that may be incurred by Ideawicket as a result of the Innovator’s breach of the above warranty
  32. Ideawicket does not make any representation or provide any warranties as to the usefulness, originality, authenticity, legality, validity or correctness of any claims made in respect of any Idea posted on the Website.
  33. Ideawicket does not in any manner control, and is not responsible for, the Idea made available through Website. By accessing the Website, User may be exposed to Idea and its associated content that may be false, offensive, indecent, inaccurate, misleading, or otherwise objectionable or may contain links to other websites, which are completely independent of Ideawicket.
  34. Ideawicket does not guarantee the confidentiality of any content posted on the Website.
  35. Ideawicket reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website (or any part thereof) with or without notice. The User agrees that Ideawicket shall not be liable to the User or to any third party for any modification, suspension or discontinuance of the Website.
  36. The User agrees to:-
    1. provide truthful information on the Website;
    2. comply with all or any laws, rules and regulations as in force from time to time;
    3. follow the anti spam policies and laws as in force from time to time;
    4. remain responsible and liable for all the consequences for all or any access to the Website from the User’s account;
    5. act in such a manner that does not harm Ideawicket;
    6. refrain from using any means to modify the Website or block access to it or interfere, damage or disable the same or its functioning;
    7. independently evaluate the Idea and bear all risks associated with the use of the Idea. Under no circumstances will Ideawicket be liable for any loss or damage of any kind incurred, suffered or undergone by the User as a result of reliance of the User having relied on or used any Idea or claims of any Innovator;
    8. use and access the Website at his/her/its sole risk;
    9. Indemnify and keep indemnified Ideawicket for all consequences of breach of all or any obligations or as a result of all or any acts or omissions of the User;
  37. Ideawicket merely provides a platform or venue to showcase the Idea and make the preliminary contact with another User. Ideawicket has no control over the quality, safety, accuracy, legality or ownership of the intellectual property or the ability of Innovator to buy or sell the Ideas.
  38. The User hereby acknowledges that Ideawicket does not have any means to assess and identify the authenticity, correctness, genuineness, legality or validity of either the Innovator or any Idea posted on the Website. User further acknowledges that the Ideas and all the information associated with the same are offered by third parties who are independent and not affiliated to Ideawicket in any manner. Use of the Website is at the sole risk and responsibility of the User. It shall be the sole obligation of the User to comply with all applicable laws.
  39. Ideawicket reserves to itself the absolute right to be exercised in its sole discretion and without incurring any liability towards the User or any other person, to at any time, without any warning or prior notice:-
    40.
    1. refuse access to the Website by any User or person.
    2. disallow posting of any Idea on the Website.
    3. delete any Idea posted on the Website.
    4. interrupt or block either temporarily or permanently access to the Website by any User or person or IP address.
  40. Website content, including the information, names, images, pictures, logos and icons regarding or relating to Ideawicket and/or Ideawicket’s products and services (or to third party products and services), is provided on "AS IS WHERE IS" basis without any representations or any kind of warranty made (whether express or implied by law) to the extent permitted by law, including the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy. Ideawicket does not endorse or subscribe to the suggestions, advice and views of the Innovators or the authors of the Ideas.
  41. Ideawicket does not assume any responsibility or liability for, and under no circumstances will Ideawicket, its directors, employees, officers and agents be liable to any User or third party for, any loss or damage (whether such losses were foreseen, foreseeable, known or otherwise direct or indirect) due to or arising out of all or any of the following:-

    1. any Idea or content posted by the User on the Website that is lost or deleted or cannot be accessed or retrieved for any reason whatsoever.
    2. use of the Website by anyone.
    3. loss of revenue or anticipated profits.
    4. loss of business;
    5. loss of opportunity;
    6. loss of goodwill or injury to reputation;
    7. loss of or injury to property.
    8. losses suffered by third parties;
    9. personal injury or damage, of any nature whatsoever;
    10. any indirect, consequential, special or exemplary damages arising from the use of the Website regardless of the form of action.
    11. all or any claims made by an Innovator in respect of any Idea or as to the contents of any Idea posted on the Website;
    12. any copying, imitation or theft of any Ideas or infringement of any rights of an Innovator by virtue of the Innovator having placed his/her/its Idea on the Website;
    13. any loss or damage incurred by any Innovator or User or other person as a result of any transactions or dealings between an Innovator and such User/person;
    14. inability of any person to use or exploit any Idea posted on the Website;
    15. inability of any person to access the Website either temporarily or permanently for any cause whatsoever;
    16. Any errors, mistakes, omissions or inaccuracies in transmission of the Idea or the content of the Website;
    17. Any bugs, viruses, Trojan horses or malicious program or the like which may be transmitted to or through the Website by any third party;
    18. any unauthorized access to or use of the Website and/or Ideawicket’s secure servers and/or any and all personal information and/or intellectual property or other sensitive information stored therein;
  42. To the fullest extent permitted by law, Ideawicket, its officers, Directors, managers, employees and agents disclaim all warranties, express or implied, in connection with the Website and the use thereof by anyone.
  43. The names, images and logos identifying Ideawicket or the Website or third parties and their products and services are subject to copyright, design rights and trade marks of Ideawicket and/or third parties. Nothing contained in these terms shall be construed as conferring by implication, estoppel or otherwise any license or right to use any trademark, patent, design right or copyright of Ideawicket, the Website or any other third party.
  44. Copyright in the pages on the Website and in the screens displaying the pages, and in the information and material therein and in their arrangement, except in the Ideas and the contents of such Ideas, is owned by Ideawicket unless otherwise indicated. Copyright for the Idea posted belongs to the respective owner.
  45. This Website may contain links to web sites controlled or offered by third parties. Ideawicket hereby disclaims liability for any information, materials, products or services posted or offered at any of the third party sites linked to this Website. By creating a link to a third party web site, Ideawicket does not endorse or recommend any products or services offered or information contained at that web site, nor is Ideawicket liable for any failure of products or services offered or advertised at those sites. Such third party may have a privacy policy different from that of Ideawicket.
  46. Ideawicket does not warrant that functions contained in the Website content will be uninterrupted or error free, that defects will be corrected, or that the Website or the server that makes it available are free of viruses or bugs.
  47. In no event shall Ideawicket be liable for any direct or indirect, punitive, incidental, special or consequential loss or damages arising from, or in any way connected with, the use of Website or any linked site or use thereof or inability to use by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if Ideawicket, or representatives thereof, are advised of the possibility of such damages, losses or expenses.
  48. Ideawicket shall not be liable for use or inability to use the Website, or from any inventions, contents, information, software, products, features and services obtained through the Website, or otherwise arising from the use of the Website, whether based on contract, tort, strict liability or otherwise.
  49. Ideawicket does not warrant that files available through the Website (for downloading or otherwise) will be free of infection or viruses, bugs or other codes that manifest contaminating or destructive properties. Ideawicket does not warrant that the functions contained in the material available on or comprised in the Website will be uninterrupted or error-free, or that any such defects will be corrected by Ideawicket. Ideawicket does not make any representation with regard to the full functionality, accuracy or reliability of the Website, its content or the server that makes it available.
  50. No warranty of any kind, implied, expressed or statutory including but not limited to the warranties of non-infringement of third party rights, title, merchantability and fitness for a particular purpose is given by Ideawicket for the Users of the Website.
  51. Bar to Retransmission of Information: All intellectual property rights and other related rights, titles and interests in and to the information available on the Website belong to the respective owners thereof; and nothing in this Agreement shall be construed as transferring or assigning any such rights to User or any other person or entity. User may not resell, redistribute, broadcast or transfer the information or use the information in a searchable, machine-readable database unless separately and specifically authorized in writing by Ideawicket prior to such use. User may not rent, lease, sublicense, distribute, transfer, copy, reproduce, publicly display, publish, adapt, store or time-share the Website, any part thereof, or any of the information received or accessed therefrom to or through any other person or entity unless separately and specifically authorized in writing by Ideawicket prior to such use. Except as set forth herein, any other use of the information contained in or on the Website requires the prior written consent of Ideawicket and may require a separate fee.
  52. If any of these terms are determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.

  54. Use of the Website signifies acknowledgement of and agreement to Ideawicket’s Privacy Policy by the User. The User further acknowledges and agrees that Ideawicket may, in its sole discretion, preserve or disclose the User information, such as email addresses, IP addresses, timestamps, and other User information, if required to do so by law or if Ideawicket in good faith believes that such disclosure is reasonably necessary to: -
    1. comply with legal process;
    2. enforce these Terms;
    3. respond to claims in regard to the Ideas violating the rights of third-parties;
    4. respond to claims regarding contact information (e.g. phone number, street address) of a third-party that has been posted or transmitted without their consent or as a form of harassment;
    5. protect the rights, property, or personal safety of Ideawicket, its Users or the general public.
    6. Ideawicket may in its absolute discretion assign these Terms of Use without any restriction.


    Entire Agreement


  55. The Terms of Use together with privacy policy constitute the entire agreement between Ideawicket and the User.


    56. Jurisdiction and governing law


  56. The Website shall be deemed to be a website based in New Delhi, India.
  57. The Terms of Use shall be governed by and in accordance with the laws of India. All or any claims or disputes arising wholly or partially from the Website or its Use or pertaining to the Terms of Use or in any manner pertaining to any content or Idea posted on the Website shall be subject to the exclusive jurisdiction of the Courts in New Delhi, India.
